Objects of the Company

The objects of the Company are to undertake public charitable activities in Australia for the promotion and advancement of the arts and culture in the manner the directors determine and, in particular, without limitation, by:


(a) delivering high-quality, accessible arts, craft and design education for people of all

ages and skill levels, including:


(i) structured school-based arts, craft, and design education programs that

encourage creativity, craftmanship and artistic expression among school-

aged children and young people;


(ii) adult arts, craft and design education programs, including workshops,

seasonal schools and residencies, to foster lifelong learning, professional

skill development and creative growth; and


(iii) a dedicated ‘School for Wood’ offering a comprehensive education

program focused on woodworking and fine craftsmanship;


(b) providing free public exhibitions, guided tours, artist talks and cultural events,

which aim to promote community participation in and appreciation of the arts,

support regional and national cultural development and inspire creative

engagement across all ages and abilities, regardless of financial background or

location;


(c) facilitating collaborative artists residencies, mentorships, and knowledge exchange

programs that foster professional development, creative collaboration, and cross-

cultural learning between artists, craftspeople and educators;


(d) delivering creative outreach programs for older adults, people with disabilities, and

individuals from diverse or disadvantaged backgrounds, to promote inclusion and

equitable access to creative and cultural learning opportunities;


(e)  offering a platform for emerging artists and craftspeople to showcase their work,

exchange ideas, knowledge and creative practice, supporting their professional

growth, and promoting economic development in the creative arts industry;


(f) any other activities that are incidental or ancillary to, and not inconsistent with, these objectives, including:


(i) raising funds to assist in the achievement of the objects of the Company

including through soliciting, applying for and obtaining government or other

grants, voluntary contributions, fund raising efforts and other appropriate

means;


(ii) acquiring, operating and maintaining such buildings and equipment as the

Company considers necessary or desirable in connection with the

furtherance of its objects; and


(iii) employing such persons as may be required to promote any of the above

objects or to provide any service in accordance with them.


2.6 Scope of powers

Subject to any restrictions set out in this Constitution, and provided that its capacities and powers are exercised directly or indirectly in the furtherance of its objects, the Company will have the legal capacity and powers set out in the Act.


3 Internal management of the Company

The internal management of the Company will be governed by this Constitution.


4 Members


4.1 Membership

(a) Number of Members


(i) There must be at least three Members.


(ii) The Members of the Company are:


(A) the Initial Members; and


(B) any other person that the Directors allow to be a Member, in

accordance with this constitution.


(iii) The Directors may set a limit on the maximum number of Members.


(iv) Subject to clauses 4.1(a)(i) and (v), it is intended that the Initial Members,

excluding WWS, resign within three months from the date of registration of

the Company.


(v) WWS must at all times be a member of the Company. This clause may not be amended, nor can WWS be removed as a Member, without the prior

written consent of WWS.


(b) The Directors may:


(i) establish different classes of Members;


(ii) prescribe the qualifications, rights (including voting rights), privileges and

obligations of persons to become a Member of a class;


(iii) change the membership class of a Member; or


(iv) vary or cancel the rights attaching to any class of Members only if the

variation or cancellation is permitted by the Act and approved by special

resolution of each of:


(A) the Members of all classes voting as a single class; and


(B) the Members of the relevant class.


The Directors must give written notice of the variation or cancellation to the

Members of the relevant class within seven days of the variation or cancellation.


4.2 Application for Membership


An application for membership must be made in the form approved by the Board from time to time, provided that each such application must contain:


(a) an undertaking on the part of the applicant to be bound by the Constitution;


(b) the residential address and electronic mail address (if any) of the applicant;


(c) adequate particulars of the applicant's qualifications for membership (if necessary); and


(d) the signature (or where applicable, the seal) of the applicant, or such other form of

authentication (electronic or otherwise) approved by the Board from time to time.


4.3 Lodging of applications


An application for membership accompanied by the applicable membership fee or

subscription (where applicable) must be lodged with the Company at the place approved by the Board from time to time.


4.4 Determination of application by the Board


(a) The Board must determine whether or not to approve each application for

Membership at the next Board meeting after receipt of the application.


(b) The Board may require an applicant to give such further information as it desires

before approving or refusing the admission of an applicant for Membership.

Thank you for your email. Yes, the process is outlined on the website.

Once the membership form is received we send through an invoice and a copy of the Constitution. A request for a copy of the Constitution prior to submitting your membership form can also be made to this  email.

I am happy to provide you with a copy of the Constitution - please see  attached.

Sturt Gallery and Studios is now a Company Limited by Guarantee, and it has an interim board (and myself Secretary and Interim Project Director) who have been shepherding the legal and administrative process to incorporation. The EGM on February 7th will see new 
• Directors appointed and the interim directors will step down. 

• The strategic direction of Sturt Gallery and Studios will then be in the  hands of the new Board.
